Dividend Reinvestment Plan

As announced August 3, 2016, Veresen’s Board of Directors has elected to suspend the Premium Dividend™ and Dividend Reinvestment Plan of Veresen (“Plan”), meaning that no portion of the dividend is currently eligible for reinvestment under the Plan.

Our Premium DividendTM and Dividend Reinvestment Plan (the “Plan”)(TM Trademark of Canaccord Genuity Corp.) provides eligible shareholders with a convenient and cost-effective method to maximize their investment in Veresen by reinvesting their Dividends in new Shares at a 5% discount to the Average Market Price on the applicable payment date, which new Shares will, at the Participant’s election, either be (i) credited to the Participant’s account under the Dividend Reinvestment Component of the Plan or (ii) exchanged under the Premium DividendTM Component of the Plan for a cash payment equal to 102% of the reinvested Dividends.

Registered Shareholders

A registered shareholder who has not previously enrolled in the Premium DividendTM and Dividend Reinvestment Plan and wishes to enroll in the future dividends, must deliver a completed enrollment form to Computershare Trust Company of Canada, as Plan Agent, at or before 5:00 pm (Toronto time) at least five business days prior to the record date for any dividend. Enrollment forms received after that time will only be effective for subsequent dividends. Once a registered shareholder has enrolled in either the Premium DividendTM Component or the Dividend Reinvestment Component by delivering to the Plan Agent a duly completed Enrollment form, participation in the manner elected by the shareholder continues automatically with respect to all Common Shares registered in the name of the shareholder, or held under the Plan by the Plan Agent for the shareholder’s account, until the Plan or the shareholder’s participation therein is terminated or until the shareholder changes its election.

Beneficial Shareholders

Beneficial shareholders who wish to participate or to continue to participate in the Premium DividendTM and Dividend Reinvestment Plan, should contact their broker, investment dealer, financial institution or other nominee to provide appropriate enrollment instructions and to ensure any deadlines or other requirements that such nominee may impose or be subject to are met. Beneficial shareholders should also consult such nominee to confirm the nominee’s policies concerning continued participation following initial enrollment.
